If I had to guess, it's the high price to sales ratio they are paying. Opnet has nearly doubled their sales over the past 5 years and grown EPS at a very nice clip, over 16% a year on average. So RVBD is paying a nice premium but if the combination can help them maintain a high revenue growth rate while improving the bottom line, I'd think it will work out well. During the same 5 year period, RVBD has more than tripled their sales.

APKT has a strong relationship with BSFT, which is another software based communications company in the this space doing relatively well.
