I suspect that Groupon's business model is too labor intensive for Google. I am sill wondering what possessed them to make an offer two years ago. While GOOG did acquire bodies and a hardware business with Motorola Mobility, that deal was primarily driven by their desire to protect their Android turf.

An acquisition of Groupon would have to be friendly as Mason, Keywell and Lefkofsky control over 55% of the voting shares. I believe that Lefkofsky, who is the guy really calling the shots, would accept an offer.
