Shareholders don't like it. I'd bet Schmidt doesn't like it either. Brin and Page like it. Or their financial advisers pushed for it. It's a common strategy when the controlling shareholder(s) live in no-fault divorce states. How else do you maintain control if the pre-nup blows up? Playboy was one of the early ones that did it.
