Understanding the S-8

I took the liberty to re-word the S-8 filing in an attempt to clarify. I hope this helps:

On March 10, 1993 the company filed a registration statement with the SEC on form S-8 with respect to the registration of 300,000 shares of common stock at $.001 par value per share.

These shares will be issued, or become issuable, upon the exercise of 300,000 stock options granted, or to be granted, based on the company's 1992 Stock Option Plan.

On February 1, 1995 the company filed a registration statement with the SEC on form S-8 with respect to the registration of 100,000 shares of common stock.

These shares will be issued, or become issuable, upon the exercise of 100,000 stock options granted, or to be granted, based on the company's 1992 Stock Option Plan.

On October 13, 1995 the company filed a registration statement with the SEC on form S-8 with respect to the registration of 730,780 shares of common stock.

These shares will be issued, or become issuable, upon the exercise of 730,780 stock options granted, or to be granted, based on the company's 1992 Stock Option Plan.
