That was indeed why I asked the question. It seems to me that Ascend might be unaffordable unless a stock swap was done. If they pay cash they they have to raise it from somewhere. Ascend at $35 works out to about 6.6 billion in market cap. According to
lucent.com, LU has only a couple of billion in cash but it does have $12 billion in assets to borrow against.

According to one poster, the restriction lasts until Oct '98. I suppose that a takeover deal could be announced in advance of this date as long as the actual transfer of ownership did not take place until after it.

It does seem logical for LU to buy a networking company like COMS or ASND at some point. Once the stock swap restriction is lifted, companies of this size would be "a light snack" as my friend put it. They have announced that they want to buy several (20?) companies in the next n months.
