Could it be because LU can't wait until it CAN do a pooling
of interests. If Nortel is indeed interested in Ascend, then
LU has to move now. Otherwise Ascend will be gone.

The fact that they are holding out for a higher price
suggests that LU isn't the only suitor! Maybe LU can
only afford $35 (cash). But that's not to say someone
else can't do a pooling of interests at a higher price.


This is a good point, however, Gary's arguments concerning CPQ are quite valid and must be added to the mix concerning their recent comments.

It is my opinion, it will be a tough battle of who wants the cherry the most. Cascade has definitly made it a valuable aquisition. My choice is still Lucent, however the rumored offer is a joke....thus Mory's comments about a buyout for $100 seem to be slapping them in the face of reality....Look what happened to BT in the MCI buyout ($28 to $51)....lessons should be learned. Ascend knows what is best for them...and I would think that would be Lucent. But they have to get real....maybe other serious/real offers will bring them around....Lets hope Mory turned them down cold! I wonder who was buying all those 25K blocks a few weeks ago? They obviously gave up and dumped....that is a curious chapter in Gary's book...I would like to know the answer to that! I would think holding 10% or better would make alot of levereage in any situation depending on who the holder was. If I was a suitor I would have grabed as many shares as I could given the recent buying opportunities! Win or lose you win in the end. BT made a fortune.
