The fact that they are holding out for a higher price
suggests that LU isn't the only suitor! Maybe LU can
only afford $35 (cash). But that's not to say someone
else can't do a pooling of interests at a higher price.<<<

Another possible scenario is that LU suspects NT will be making a move on ASND. Since LU cannot use a stock swap in an aquisition, they may sense they are at a severe disadvantage in any bidding war with their archnemesis, providing they hope to either own ASND in the future for their own strategic foray into the telco/ISP networking biz, or to simply deprive NT of such a prize...likely both. If they cannot have ASND, and cannot prevent NT from leap-frogging them in this arena, they may simply wish to drive up the bid and make NT pay dearly for the company.

Pure speculation, of course.
