Bernie and others,

I too received the proxy materials from my broker (Waterhouse). They too want a $25 service charge to tender. Believe I will call them and have the shares delivered to me. I do not plan on tendering until I can be certain that the "event" will occur in 1998 so as to push taxes out an additional 12 months.
