Analysts desperately need stocks to issue a "buy" on, because they are employed by brokers. An upgraded stock can be sold to the millions of people who don't own it yet. As you mentioned, sometimes downgrades may be made just for the purpose of giving a chance to issue a "buy" later. A "sell" or the euphemistic "hold" can only be interesting to the limited number of clients that already have the stock. This will never generate the commissions that the broker can get with a new upgrade.
