Letter of intent with private company

The company has entered into a letter of intent with a private company
based in Montreal, Quebec to provide the Quebec company a francophone
licence to Markatech's technologies.
The company will provide an exclusive francophone licence for its
TouchMaster Restaurant Point of Sale system and its Autonet Parking
Citation Enforcement system to the Montreal based organization. The
company's licence will extend the rights for the designated product
technologies to be converted by the Montreal company to establish a
Francophone version of the products to be marketed to certain defined
French based markets throughout the world.
The letter of intent provides for the company to receive a licencing fee
over the next 12 months from the Quebec company which, in turn, is a
beneficiary of certain technology based research and development tax driven
funding.
Further, the company will receive continuing royalty payments based on the
gross sales of the francophone product technology throughout the 25 year
term of the licence.
Upon completion of the francophone technology licencing agreement and
fulfillment of the licencing fee payment terms, the company will have
achieved the financing of its product development and marketing budget
requirements.
