could you elaborate why for example an officer of the company that was approached to be acquired should be allowed to make tens of millions on that information?

First off, because you can't stop inside info being used. We all look for an edge when we buy and sell, it's a jungle out there.

Trying to enforce a law that stops people from using info they have is a mug's game.
