We appear to have our first 3D printing reverse merger. On October 29, 2013, Advanced Cellular, Inc. acquired all of the shares of Umicron and changed its name to Makism 3D Corp. Prior to the transaction, the company had 70 million shares outstanding, of which 41 million were returned to the company and retired.The company issued 30 million shares to the stockholders of Umicron, giving them a 50.67% interest. On October 29, the company sold 1 million shares at $.60 per share in a private placement, but appears to have only collected $250,000 of that amount.

The transaction is summarized in the Form 8-K: sec.gov

For the period from December 16, 2012 through August 31, 2013, Umicron had no sales and only $6,782 in cash: sec.gov

As of June 30, 2013, Advanced Cellular had no cash and approximately $32,000 in liabilities: sec.gov

The shares are trading under the symbol MDDD. At today's closing price of $1.15 the company is being valued at approximately $69 million. The shares traded as high as $6.00 per share on November 6, 2013.
