In connection with the joint venture agreement with Noranda
Mining and Exploration on the Maliseet property, New
Brunswick, Noranda will purchase 666,666 shares of the
company at a price of $0.45 to raise gross proceeds of
$300,000 for exploration work on the Maliseet property. The
closing of the private placement is subject to certain
conditions, including that the company has first raised at least
$1,000,000 in flow-through private placement financings.
