Joe:

You just can't leave well enough alone can you?

Do you remember your representations concerning "Corn Dancer"? How Xecom was going to spin off this "great" asset and make all the shareholders of Xecom happy and well? How the stock jumped up to $4.00 in late 1995 and early 1996 on all that prattle of yours, then crashed and has been crashing ever since? The crash of this stock has to do with the fact that stuff you say does not comes true.

Later in 1996, you were telling me that the company was still going great and, at that very time, Truher had already left the company and not one word was ever said in a news release or to me for months that an upheaval was going on at Xecom and it was in deep financial trouble; I only found out through a broker about Truher leaving. The "news" of Truher leaving the company only filtered out from the company when it became so obvious he was gone that something had to be said. You are very aware that Truher was the driving force behind the formation of this company. He was an important AT & T executive and his "name" and expertise were why many of us invested in the company in the first place. Do you remember all those glowing news reports about Truher then? Keeping it a secret that he no longer was with the company was a deception on the shareholders.

Let's get to some more current events though. You told us all that you were "passing the baton" and would no longer be active in the public relations efforts for Xecom; you did this when the "heat" was on concerning the legal troubles that had surfaced concerning you. But, as soon as things "cool" off, here you are again prattling away as if every one has forgotten. Now you say you are back and Regis Capital is out because they didn't do the things they promised. Wow!

Some reality checks are needed by you. You have, by your own admission, plead guilty to tax evasion and been reprimanded and disciplined by the SEC; yet you continue to act as if you are as pure as the driven snow when anyone questions your integrity. Get real.

Notwithstanding the illegality of your behavior, the thing that bothers me just as much is your utter failure to comprehend the lousy judgment you have exhibited in all these matters. So long as you have anything to do with the decision making processes at Xecom this company will be crippled. You are a damned "loose cannon" and no one who thinks at all can have any confidence in you.

You want to know why Xecom is in the toilet? Just look in the mirror, the answer will be reflected there very clearly, assuming the fog in your mind is not in that room too.

Eddie De Bartolo, President of De Bartolo Corporation and the San Francisco 49ers, resigned rather than embarrass his company and family; he's doing the wise thing. You should take note.
