Being fairly new to the Board, please forgive me if some of these points have been made or some of the questions asked, but it may help to reiterate some things that I took directly from the DCTC newsletter and home page. I realize I could call and ask the company, but I hope it will stimulate productive discussion:
1. With regard to the Muller Deal, has it closed and if not, when do we expect it to close? I see this as very important for two reasons:
The deal will bring a very popular product to market into the consumers lap: "Murphy went on to say that this will, in the future, give DCI the ability to inject film video footage into Internet Web sites via licensing agreements with Internet Service Providers (ISP's) and web site developers. Full length video's will also be available for individuals to purchase over the Internet."
In addition, the co. states: "DCI believes the acquisition of Muller Media, Inc., when finalized, will add approximately $3.0 million in annualized sales and $.5 million in profits. The acquisition will involve an exchange of stock valued at $3.0 million. DCI intends to apply for Small Cap NASDAQ upon completion of the transaction." Where do we stand with NASDAQ?
2. At the last shareholders meeting: At 9:00 AM, on August 21, 1996, the second Annual Meeting of Shareholders for DCI Telecommunications
"Perhaps the most interesting information to come from that period was when Mr. Murphy described Fnet's need for bridge financing. He explained that securing the bridge financing will give FNet a "safety net," and was quick to note that the fate of FNet does not rest on the ability of DCI to secure these funds.
The bridge financing is just that, a bridge. It would enable FNet to operate for a longer period of time before coming out with an IPO. However, between DCI and Franklin Telecom (FTEL - OTC Bulletin Board) there is approximately $1.5 million in cash."
Is it still considered desired but unnessisary? 3. In talking about FNET, the newsletter states:
"According to Franklin's President and CEO Frank Peters, "The use of GridNet's nationwide Internet presence will allow us to take the integration of our channel bank technology and voice applications national. We believe our latest product offering (to be called F-Link) will be widely accepted in this market segment and will reduce the cost for many corporations for international Internet Phone (available Fall, 1996). We intend to provide solutions that will dramatically reduce the cost of corporate communications for dial-up, Frame Relay and ATM connections." Peter's went on to say, "This partnership is one part of FNet's business plan which focuses on making FNet the most profitable Internet Advanced Solution Provider in the world. The system will go on-line for testing this week and our target for nationwide availability is August 9, 1996."
Where are we with the testing and the implementation?
4. How is the Privledge card being accepted and are there other uses than outlined on the home page? How much in revenues does this generate? It seems a very minor part unless they have visions for something more. 5. I am still not clear how Alpha Products fits into the picture...(but then I am not a computer jock). Can anyone explain? 6. With regard to the recent meeting, according to the published newsletter, it was always a DCI event and nothing more. However, it did state that it was to be an "international event". Was that just bravado and wishful thinking , or was it really?
I would encourage anyone who has not visted the DCI homepage to do so. It does explain the basic framework of the company. Just not the whole picture. Thanks for your patience with the long post.
