Is the (restricted?)share price that RMCW is receiving for the merger fixed or is the number of shares to be determined based on the share price at the "final closing"?

If the share price is fixed, RMCW is losing a lot of equity. If the (sale) merger price is fixed, could someone involved in the deal be intentionally walking the price down to get more shares knowing once the announcement is made the true value of the merger will bring the share price up?

I remember the anticipation of waiting for the closing of Mo's $100M deal.
