The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced April 10, 2014.
Number of shares: 6,843,500 shares
Purchase price: 20 cents per share
Warrants: 3,421,750 share purchase warrants to purchase 3,421,750 shares
Warrant exercise price: 30 cents for a two-year period, subject to an acceleration clause
Number of placees: 79 placees
Total pro group involvement: 425,000 (five placees)
Finders' fees: Canaccord Genuity Corp., $41,480 cash and 207,400 warrants payable; Woverton Securities Ltd., $26,250 cash and 131,250 warrants payable; Modaven Capital Corp. (Charles Ross), $3,000 cash payable; PI Financial Corp., $5,800 cash and 29,000 warrants payable; Fin-XO Securities Inc., $2,000 cash and 5,000 warrants; Leede Financial Markets Inc., $2,000 cash and 10,000 warrants payable (Each warrant is exercisable into one common share at 30 cents until April 25, 2016.)
