    Kapuskasing Gold Corp. intends to complete a non-brokered private placement of up to 6,666,666 units at a price of 15 cents per unit for gross proceeds of up to $1-million. Each unit will consist of one common share and one-half of one common share purchase warrant. Each full warrant will entitle the holder thereof to purchase one common share of the company at an exercise price of 20 cents for a period of two years following the closing of the offering.

    Completion of the offering is subject to receipt of all regulatory approvals, including the approval of the TSX Venture Exchange. All securities issued pursuant to the offering will be subject to a statutory four-month hold period.

    Net proceeds from the offering will be applied toward advancement of the company's recently announced (see news release Feb. 28, 2014) acquired properties, which are still subject to TSX Venture Exchange approval, and for general working capital purposes.

    In connection with the private placement, Kapuskasing Gold may, subject to regulatory acceptance, pay a finder's fee to certain arm's-length parties on the proceeds raised. It has yet to be determined if any insiders will be participating in the offering.
