The SEC always makes its own decision to investigate. Often though it is after the SEC makes preliminary inquiry in response to (a) a civil securities suit, especially a class action, (b) multiple complaints from investors, (c) stock price behavior that itself raises questions, or (d) unusual comments or behavior by brokers or market makers. Any or all can cause the SEC to decide to investigate. Here, we likely have all of the above, but the real red flags are the class action, the price swings and the market makers' problems. An uninformed complaint or two does not amount to much.
