ALL: Merger Challenge Against Raptor Systems Believed To Be Without Merit

WALTHAM, Mass., Dec. 12 /PRNewswire/ -- Raptor Systems, Inc.
(Nasdaq: RAPT) and AXENT Technologies, Inc. (Nasdaq: AXNT) stated today that a'lawsuit had been filed in Delaware's Chancery Court alleging a breach of fiduciary duties by Raptor's directors in connection with the recently announced merger of Raptor and AXENT. Both companies indicated their belief that the claims were without merit. Both companies also stated that the lawsuit currently was not expected to have a material effect on the results of operations or financial condition of either company, the pending merger, or the scheduled closing of the merger, which has been unanimously recommended by the boards of directors of both companies.
