It may be irrelevant assuming TMSR management is paving way for a CU 'friendly' takeover. Friendly to TMSR management but not necessarily non-insider shareholders. Again, this is all hypothetical, however, we have seen it before and are observing similar patterns emerging.

A [hypothetical] Takeover Primer [for a company like TMSR].

Acquiror targets high growth, profitable, few shares outstanding company. Acquiror accumulates up to 4.99% of outstanding shares which will give them a major position yet not enough to trigger a SEC 13D controlling shareholder filing (which will also identify the interested suitor). Target's float now becomes that much thinner i.e. Acquiror just accumulated another ~250,000 shares of TMSRs float. Price stability is threatened further allowing acquiror to slowly sell shares back on market to drive price down...and then accumulate and then sell...until the shareholders have had enough and will accept a tender offer at Acquiror's first offering price (and fact TMSR management appear to only want (NYSE:CU) and Classified Board, Preferred Stock, Oregon Antitakeover Laws are all supportive of a Management friendly [CU?] takeover)...
