Canadian Overseas Petroleum Ltd. has filed a final short form prospectus with the securities regulatory authorities in all of the provinces of Canada, excluding Quebec, in connection with the previously announced marketed offering of units of the company. Each unit consists of one common share in the capital of the company and one common share purchase warrant. Each warrant entitles the holder thereof to purchase one common share at an exercise price of 40 cents per common share at any time prior to 4:30 p.m. (Calgary time) on or before the date that is 36 months following the closing date of the offering. The common shares and the warrants comprising the units will separate immediately upon closing. The company is expecting to raise a minimum of $5-million and up to a maximum of $15-million in aggregate gross proceeds pursuant to the offering. The offering is scheduled to close on or about Aug. 21, 2014. The offering is being led by GMP Securities LP. Pursuant to the offering, the company will issue a minimum of 25 million and a maximum of 75 million units at a price of 20 cents per unit. The company intends to use the net proceeds from the offering to finance the acquisition and processing of seismic data and for general corporate purposes.
