OLYMPIC RESOURCES LTD. ("ORL")NOTICE TYPE: Major Property Transaction
NOTICE DATE: December 16, 1997.
The Vancouver Stock Exchange has accepted for filing documentation pertaining to an Agreement of
Purchase and Sale dated November 10, 1997 between the Company and Encal Energy Ltd. (`Encal')
pursuant to which the Company will purchase Encal's interest in 26 sections of land in the Flat Lake area
of northeastern Alberta. The interests to be acquired include a 100% interest in four producing gas wells,
a 50% interest in a gas plant and related gathering system, and a 100% interest in undeveloped lands in
the area. In consideration, the Company will pay $940,000 in cash to Encal, subject to adjustments for
operations pending the closing of the transaction.
A finder's fee in the amount of $92,000 cash and a 2.5% net carried interest in the petroleum and natural
gas production to be obtained from the subject property is payable to Sunstar Energy Inc., the principals
of which are Robert Martin, and James Gotmy.
