Mike; Reg S allows for fast money to be raised by sales to offshore non USA persons/companies at a discount(which may be from45 days to 2 years). It is fully legal as long as no US persons/corps are used. It is faster than an SEC prospectus and is used for emergency funding at a discount because you have no time/money left for a product to be developed/mined/extracted etc.
To offer them to you in the USA they would need a prospectus and financials and 6 months for approval. IPM may be gone by then, so reg S.
Many large legit companies use reg S, due to speed. The SEC does not care how you sell offshore, they can only regulate what comes home, so the stock has a stamped 'legend' that tells when it can be traded in the USA. At that time it goes to the transfer agent and has the legend stripped and it is normal stock.

Like anything it can be crooked or legitimate. I did not see IPM in that fraud article, so I think any reg S by IPM is not crooked.
