 ALYA International Signs Distributor Contract with M&E Sales, Inc.
 
 December 4, 1997
 ALYA has signed a distributor contract with M&E Sales, Inc. a systems
 integrator. M&E will be licensed to market, sell and distribute ALYA's
 OPENcentrix security system. M&E is the largest US East Coast
 Integrator of LonWorks Echelon networks and is licensed and qualified
 to provide full service systems. M&E has been providing the business
 community with commercial mechanical building systems since 1832
 including design, sales, installation, monitoring and maintenance.
 
 In announcing the distributor agreement, ALYA's Vice President of
 Marketing, Mr. Patrick Rowley commented: "ALYA is excited at the
 prospect of being represented by a well respected and long established
 firm such as M&E. It is apparent to both parties that the Echelon
 network technology will play a dominant role in the building systems
 industry. This relationship will enable both firms to take significant
 steps toward providing clients with truly interoperable plug & play
 automated buildings".
 
 OPENcentrix Contract Signed With ICBC
 November 6, 1997
 ALYA announced today the signed sales contract for the installation of
 an O.P.E.N.centrix Security Management System in the head office and
 parking facility of The Insurance Corporation of British Columbia
 (ICBC). ICBC is a province wide Automobile Insurance Utility for
 British Columbia, Canada. The head office facility supports 2,000 plus
 employees and a secure underground parking facility. The organization
 has approximately 4,000 employees and more than 90 satellite offices
 throughout the province.
 
 Additionally, ICBC has contracted for an O.P.E.N.centrix Security
 Management System at their telephone claim department, one of 90 Claim
 Center's province wide. ALYA's O.P.E.N.centrix Security Management
 System will provide ICBC with "state of the art" centralized alarm
 monitoring and access control over their wide area network. Patrick
 Rowley, VP Sales & Marketing indicated, " ALYA's management team was
 very pleased to have won this competitive bid against a large number
 of established North American industry vendors. We believe this win
 further confirms the technological advancement of O.P.E.N.centrix
 along with the depth of ALYA's security management experience".
 
 The O.P.E.N.centrix security system runs on Windows NT(R) and
 communicates on two levels 1) over ICBC's Local Area Network (LAN) and
 Wide Area Network (WAN) for intercommunication between buildings, and
 2) over the LonWorks (LON) network to communicate to the end devices.
 The end devices for alarm monitoring can include devices such as
 proximity detectors, infra red beams, glass break points, etc., and in
 access control some such devices are proximity detectors, finger print
 or retina scan, voice annunciation, etc. The newly developed system
 does not rely on a central host computer, instead uses intelligent
 nodes in the network to communicate peer-to-peer for a distributed
 architecture. The system is feature rich in the security applications
 and provides the end user with an advanced system that operates in the
 smart building environment.
 
 Beta Installation Completed With Squirrel Systems* of Canada
 October 22, 1997
 ALYA has completed a beta installation of the newly developed ALYA
 OPENcentrix* access control system at the Squirrel* Canada operations
 in Vancouver, BC. Squirrel* Canada, Ltd. is a subsidiary of Sulcus
 Hospitality Technologies, Corp.

 Patrick Rowley Appointed Vice President of Sales and Marketing
 Price Waterhouse Appointed Auditor
 October 16, 1997
 The Company announced today that Patrick Rowley has been appointed
 Vice President, Sales and Marketing effective immediately. Mr. Rowley
 has formerly served in senior executive and marketing capacities with
 Cardkey Systems*, ADT Security*, Cerberus Pyrotronics* and Chubb*. He
 will work in close cooperation with ALYA's wholly owned subsidiary,
 ALYA Systems Inc. and will be located at their corporate offices in
 Vancouver, British Columbia, Canada.
 
 In announcing the appointment, ALYA's President and CEO Dirk
 Schillebeeckx commented "Mr. Rowley's extensive background in
 industrial security and process control industries brings important
 industry credibility to ALYA. Mr. Rowley will accelerate market
 penetration of our newly introduced products, OPENcentrix and
 OPENcortex to North American and European distributors and resellers
 in the building automation and process control industries."
 
 Price Waterhouse* has been appointed as ALYA's corporate auditors.
 
 ALYA Raises $1,300,000 Cdn. Without Shareholder Dilution
 October 9, 1997
 The Company announced today the receipt of $1,300,000 Cdn. as partial
 payment for a technology sale of OPENcentrix* software for the United
 States. In addition, ALYA receives an interest-bearing note for
 approximately $12,300,000 Cdn. to be paid over ten years. The
 $1,300,000 in revenue will be recognized in ALYA's financials for the
 fiscal year end September 30, 1997.
 
 As part of the transaction, ALYA entered into a management agreement
 covering the software technology. Under this agreement, ALYA will
 continue to retain the exclusive United States territory marketing
 rights to the software products of OPENcentrix * technology. ALYA will
 retain ownership of the hardware technology and worldwide ownership of
 the OPENcentrix* technology for Canadian and International markets.
 "This transaction has given ALYA the cash we need to expand our
 OPENcentrix* marketing campaign," says Dirk J. Schillebeeckx, ALYA's
 CEO. "This campaign will accelerate our entry into the distributor and
 reseller markets. We are pleased to have raised money for marketing
