He is not bypassing anything. He declared he sold 500k to BFI. Therefore he has been paid for them. What BFI does with those shares whether they sell or keep them would I suggest be the private business of the company and it's shareholders. The company not a public company where transparency is required nor is it a CF insider.
Mike Smith is a trial lawyer. So you can be assured everything is totally legal.
If there anyone who knows of rules against this type of transaction. Feel free to advise. Personally I am not aware of any at present.
