Here's my notes from the conference call -- hope this is intellible -- it's pretty detailed:

Steven S.:

Agreement covers business relaitonship & structures how stragecially work together

Not an exclusive agreement -- IBM wants to deploy tech. more broadly

OEM has been a difficult process -- finding first company hard
IBM working to go to pc & other manufacturers

First products into market place prob. 3rd quarter
Not going to be specific about products right now
Also looking at content providers -- & data broadcast

Agreement w/IBM's personal system division (client pc & consumer brands (aptiva))
Relationship with division level penetrates into all product groups w/in division
Dealing with 30-40 people w/in IBM

QUESION:
Products: when expect further announcments?
Nothing scheduled specifically

Whats in deal for IBM?
Shared ongoing revenue (included in agreement)
Differention of pc platform -- can bundle content
Consumer benefits by ongoing content delivery

IBM has no obligation to specific products?
That's the way IBM does business
"If IBM decides not to ship something, I can't sue them"
Typical deal for PC industry

Got everything you'd hoped for?
Absolutely -- key thing -- agreed to support in industry-wide adoption-- a very strong statement -- they're excited about this
"This is awesome for us"

No revenue going to come from IBM?
Wave's normal business structure -- share a % of revenues that come from content
No licensing fee-- don't want to increase barrier to entry by charging fee

Talking to other OEMs?
"In conversation with pretty much all of them at this point"
Only talked to one since announcement
Classic sentiment -- if one of competitor's adopts, then we'll ship it first
real challenge getting first one
think future OEMs will be easier

How about content providers?
25-30 providers signed up today
advancements on platform side make it easier on content side
after first of year -- expect to get more content providers

As consumer -- when will I be able to buy IBM computer with this technology?
Not saying yet
First Wave products on market place -- 3rd quarter of next year
not going to see in 2 months -- a little longer

Comment on impact w/ regards to listing on OTC bulletin board
Piece of the foundation for eventual re-listing
Will play an important role
Not in a huge panic to be back on NAS

Development w/IBM establish a fundamental viability platform for information commerce?
Key aspects of wave -- media-independent delivery system
Because metering off-line...
Explanation of system
Brings a center of gravity -- people will want to hang their systems off of this
Will help bring stability to the conversation

Describe security level of the chip
triple key -des -- full export permission for encryption & decryption

Projection of value of information market?
a really hard question -- "it's really huge"

Expect revenue in 1998 from announcement or limited to zaksat?
Expect revenue associated with this -- and alternate revenue streams

What's the next huge hurdle?
months away -- making sure they ship

Any competitors? Expect any?
Digital Video Express -- not a competitor, but a similar model
There aren't direct competitors --
some companies in a position to have something, but not actively pursuing it Peter S.: Hope that we'd be sufficiently successful that we would get some competitors

What's the burn rate? How much money?
Burn rate come down in last 6 months -- below $700,000 per month
Funds through mid January
Expect revenue from ITG that should trigger off of this agreement

Contemplate any more financings? If so, what type?
Last financing is fully converted at Wave
Yes, we'll need to do additional financing -- no comment on what type
In general, want to move away from heavily discounted preferred

Is wavemeter part of IBM's e-commerce solution?
IBM makes decision on that
How they choose to position this is up to them
Can't comment more than that
They have to position this as a product
