To: ALL CVIA SHAREHOLDERS AND THREAD PARTICIPANTS,

I am shareing this response in efforts to provide some thoughts , that may provide each of you with some additional points to think about, ( especially those of you that have some concerns or reservations, as it releates to providing your Shareholder Approval in allowing Jack Arnold to use your individual Shares to vote --as he deems appropriate that is in the best interests of the CVIA shareholders!) WOW! That was a mouthful!

I have been following up ( as promised) trying to get some input to some of your concerns!

I had an opportunity to have a communication with a member of this CVIA thread, who at this point in time, I will keep confidential!

The reason being, it was just their opinion ( however I must add that I personally have a high regard for this person's opinion in this matter, and at some later point in time, when this action packed adventure turns hopefully into " a win/win result!"---then we will know the identity of the thread contributor!) I would add that their opinion about the " Shareholder Consent Form" scenario, as a "Law Student!", gives me even a bettor feeling , that we are on the "right track!" ( Just my own opinon!)

Let's Look At this Scenario from Two Points of View!

First! Gut Feeling/Responses!

#1. Should we give Jack Arnold the " power/control" to use our votes to move the merger along as quickly / effeciently and with minimal expense?

One possible answer gut/response could be:--- Is there any value in trying to second guess Jack Arnold ? ------ Is there any one of us, who knows what is going on in the merger activities, that would be bettor able to represent or make decisions on behalf of the CVIA Shareholders? ( Highly Unlikely!).

#2. Are there any signals that Jack Arnold is giving or has given, that there is any need for the CVIA shareholders to secong guess what he has done or is currently doing on behalf of the CVIA Shareholders?

One possible response to the above, is that , to second guess what Jack Arnold has been doing at this stage of the merger process, at best would be somewhat " foolish and a waste of all of our time!" ( just my own and another's opinion!). ( Maybe can be compared to someone who has jumped out of an airoplane, to make their first
parachute jump ,but half way down , in their jump, they start second guessing themself!----Probably somewhat of a waste of valuable and precious time, in worrying about whether they should have jumped or not, they should rather be focussing on what last minute or last second activities that they can do to improve their chances of a safe landing!) ( Once again just my own personal opinion!).

#3. Does Jack Arnold appear to have a high degree of integrity, and did he volunteer his services to try and save/salvage CVIA? Does he keep the CVIA Shareholders informed on a timely and regular basis!
Do you really think that he needs to be doing this if he didn't have the best interest's of the CVIA Shareholders at heart?

Each of you individually have to decide for yourselves! I know what my feeling is regarding the above Point #3.

#4. Here are some additional Gut Responses! Not questions just some personal thoughts!

It is at this point in time difficult to see how or why Jack Arnold would do or initiate anything that would hurt or harm the chances of maximizing the best interest's of the CVIA Shareholders! ( Keeping in mind that Jack Arnold is himself a CVIA Shareholder!).

My personal impression has always been that Jack Arnold, from the first time that I communicated with him , he always appeared very intent and focussed on doing everything by the "book" and appeared very much aware that his efforts regarding the merger activities, would have to be in line with SEC Trading Regulations on BB Stocks! ( I sensed that the last thing that Jack Arnold wanted to get involved or mess with was any SEC or any other regulatory governing bodies!)

It appears that there could very well be securities laws in every state,either by statute or common law. So it appears that we have Federal Laws, State Laws. and Common Law. ( My hunch is that Jack Arnold is too involved in the community, his other personal business interests, etc. to want to get involved in taking on all the " World" ! ( Just my and another personal opinion!)

This is the final Gut/FEEL comment! ( And please it is not intended to attempt to discredit any individual , groups, etc. or any individuals personal views or opinions or belief system!)

Here it goes!

Something to consider! What is the point of we CVIA Shareholders having any control by not signing over our consent for Jack Arnold to move forward with the merger?------- What do we have control of? --------- A shell company that none of us would know what to do with anyway! ( At least without any cash/assets to work with!)

And even if we had the time and resources to do something with it! Why bother? I have invested most of my weekend, responding to e-mail, CVIA, posting on threads, trying to get some legal opinions ( without spending any money to get it, etc). And what have I accomplished? And yet I'm completely "Fried!" just by the little bit that I contributed as a CVIA Shareholder!

So can I imagine how difficult it would be to step into Jack Arnold's shoes? And handle the task at hand that he has recently undertaken? He must have a very strong sense of loyalty to the CVIA Shareholders! My sense is let us continue to encourage him! We have a long way to go yet! So let's not lose Jack's supportive loyalty!

Quite simply put he has my support! Let's get this merger signed, sealed and delivered! I imagine that it is still going to be somewhat time consuming, and the information flow will never quite contain enough information to keep all of us happy all of the time! ( That's OKAY! because that is human nature! And when a press or news release comes out, the very next minute we will want to know when the next news release will be out! RIGHT? Or is it just me? ( Just my own opinion!)

Now On To The Second Point Of View!

LEGAL FACTS!

Keep in mind this is only something to think about! ( And is only my and another own personal opinion!).

#1. It appears that there may very well be various options when shareholders express consent to Company Actions!

Proxies, or consent to Comapany Actions, can be oral ( they don't even need to be in writing, much less notarized).

It appears that there are serious legal consequences if officers or directors misuse the proxy process or defraud shareholders!

#2. It appears that if CVIA is the corp. which is being acquired...little corp
And big corp is acquiring CVIA
CVIA Shareholders, We think, are required to get full financial info on Big corp before they vote their consent. But this varies depending on the type of merger etc.!

Just to remind everyone that the above shared comments are just my and others own personal view point and opinions ! ( Please be reiminded to always do your own research and due diligence, before even considering any investment decisions!)

Each and every one of you, have worked hard to earn and save your moeny! Don't take anything you read or hear for granted!

In my own previous experiences in investing and my minimal attempts in the business word, I was fooled on many, many occasions! The part that always seemed to do me in was the "hidden agenda!" portion of the apparent opportunities!

If there is a "hidden agenda" in the Jack Arnold /CVIA merger activities? Then thus far, I haven't been able to track it down!

Keeping this in mind, at best this is still ( in my opinion!) a very high risk venture, and what the value of the shares will be after the dust has settled is also a big ??????? in my own opinion!

But! For .04 cents from my standpoint! I am aware of the |High Risk!) involved! And I am mentally prepared to accept the consequences of the merger results! ( Be it! Financially Rewarding, or a Financial Washout!)

Well I think that I am going to sit back! Recharge my "Battery", and see what you all think about this!

P.S. I let my imagination get away on me last night when I was sleeping! I starting dreaming that our Tire and oil Company couldn't change tires and change oil fast enough to keep up with the long line ups, so we had to gather together all the CVIA Shareholders, to help out ! ( Please Get This Merger Done! I don't know how much more of this I can take!) ( Just Kidding! I can take a lot with a great group of CVIA shareholders that we have!)
