Humbly Note*, Chase had set up a joint venture with Alydaar, (ALYD) in Europe, but six months later Chase, abruptly, sold its interest in the joint venture (for a profit) back to ALYD in exchange for tradable shares in ALYD stock.

Since Chase is a foreign corporation, these shares were likely in the form of Reg. S.
