Raging Capital update

I was not aware of the following about the Termination Fee (and was wondering how this could be done without shareholder approval...no I didn't read all the fine print!):

"If shareholders reject the deal, the Agreement of Merger will be terminated, no Termination Fee will be due, and EZchip will remain an independent public company with the opportunity to generate significantly more value for shareholders."

Has anyone received the Gold Proxy Card yet? Anyone know if this will be available for Internet voting?
