“Without Prejudice”
Dear Mr. Dube,
As you know, there are legal remedies for slander and libel and this email will be our only notice to you. I reference our telephone conversation on the afternoon of August 15th, 2014 where I disclosed that I was in possession of extracts from a private Skype forum (the “Skype Forum”) of which you are a vocal participant. As disclosed to you on that call, the commentary I received from one of the Skype forum participants clearly shows that you allege that there a was misuse of non-public information by people who have a close association to CCB. By your own admission, you acknowledge that you made those allegations. Throughout this conversation, of which a record has been made, I offered to you that these allegations be fully reviewed of which you, after much equivocation, withdrew your remarks as mistaken. During the closing of this same conversation, you gave your undertaking that you would retract these allegations from the private Skype board. You did not.
Subsequent to our call of August 15th, 2014, it has been brought to our attention that you are still making spurious allegations contrary to your assertions that you were mistaken. Your behavior in this matter is malicious with the clear intent to damage Canada Carbon, its shareholders and its management. Furthermore, your documented behavior clearly demonstrates that your motive is to damage Canada Carbon and its position in the graphite marketplace as a whole. We give notice to you that Canada Carbon vehemently denies your self-serving allegations and that we will vigorously defend ourselves through the competent court system and will seek significant damages.
CCB hereby demands an immediate and unqualified retraction and apology, with the retraction and apology to be published on the Stockhouse Website, Agoracom and private Skype board and to be provided to CCB in writing. The apology and retraction must identify yourself as Francis Dube of Welland, Ontario. Subject to you providing an appropriate apology and retraction, CCB is prepared to forgo any further action against you on the following terms:
Mr. Dube provides a list of all the people, inclusive of texts, emails or any other communications he has made these allegations to and;Mr. Dube agrees and provides an undertaking to cease and desist any further defamation.
We look forward to your prompt response to this email. If we do not receive confirmation that you are prepared to accept the above terms by September 12th, 2014 this offer will be withdrawn immediately and will review our options which will include filing an action for defamation in the Superior Court of Justice of Ontario.
