D shrs., (neither of which "come out of the outstanding" but rather increase it- the difference between the two lies in the tradability)<< Sorry not correct. Reg. D - shares come out of the total outstanding and do not cause dilution. Reg. S - newly issued shares that, once sold, cause instant dilution.
