12. Describe and provide details of legal proceedings to which the Issuer became a party, including the name
of the court or agency, the date instituted, the principal parties to the proceedings, the nature of the claim, the
amount claimed, if any, if the proceedings are being contested, and the present status of the proceedings.

The Issuer was party to a nonbinding mediation session on December 4, 2015, in connection with the
termination of a former employee and the cancellation of certain of such employee’s shares.
The parties were unable to settle the potential claims during that mediation session, however potential
settlement discussions are continuing. To the knowledge of the Issuer, no formal complaints or other
actions have been filed with any judicial or arbitration body.


16. Provide details of any changes in directors, officers or committee members.

Michael Cohl joined the Board of Directors, replacing Elijah Cohl. Chairman of the Board Rick Miller has
resigned from the Board of Directors due to unresolved outside conflicts.

Yikes - trying to cancel shares - hope they are the ones that anon keeps pumping out and
they get cancelled soon. Something went seriously wrong with someone.

Did they have to say this about Rick? How about saying - outside concerns or whatever but "conflicts"?
Does the word "outside" make it sound better? How about saying "Mr. Miller was unable to further
contribute to the companies interests to his satisfaction as other commitments demanded his
immediate undivided attention."

These guys need to hire me to do their PR - this make me wonder where the bird of paradise is right now?

Why not just say - Rick is too depressing to have around the office so we forced him out?
