That got me too along with the flat/ declining revenues and tangible book. I've become very skeptical of my ability to establish a downside for businesses which suggest declining future cash flows, even if it's a net net. MB called it "corroborating value." And if you're buying a basket of net nets on anticipation of liquidations, this wouldn't be a good candidate since management has set roadblocks for activists.
