This blog post on the WSJ site states that the deal does in fact require WDC shareholder approval.

"Western Digital’s SanDisk deal just got more complicated. Chip maker Western Digital Corp. WDC -4.12%said Chinese firm Unisplendour Corp. 000938.SZ -0.91% had terminated a proposed $3.78 billion investment in the company, triggering an alternate merger agreement for Western Digital’s $19 billion tie-up with SanDisk Corp. SNDK -0.78% The move means the deal to buy SanDisk will require a Western Digital shareholder vote, after a London hedge fund recently urged the chip maker to walk away from the planned acquisition.
