Rod and all,

This continuing slide in Borland is bewildering to me. IMHO, investors have already discounted any possible dilution due to the VSGN merger. Consequently, the stock's continued decline (bid is now 7 5/16) is troubling from some more fundamental aspect. I have seen no news reports, but I feel that someone must know something. Is there new compeition out there? Are Borland's products like Delphi and J-Builder coming in with lower than expected sales for this quarter? Is there a greater Asian exposure that most of us know about? Has anyone got any ideas? I'm really beginning to get nervous.

Sam
