Sokol would tell you they are US based. They are technically onshore but their shorting gets done offshore.

I suspect that with the sophistication of the discounted convertible financing business (it's virtually become an industry), you could have a situation where it looked like genuinely domestic operations were doing the finance, but they had connections with offshore brokers to do the dirty deeds, and it would be impossible to tell.

It's likely what is happening here, in my estimation.

They're in Mequon, WI, with either a mail drop in Bermuda, or a desk in their brokers office.

While they drink their Sprecher amber and root for my Packers (so how bad of guys can they be?) in north suburban Milwaukee.

So in a nutshell, it's the financing. Terrible, shareholder crushing gimmick to keep companies alive.
