Brian,

Lets see if I can answer your questions;

1. Deal as I know it is not exclusive. As to other oem deal, it will be much smaller than the Veeco deal, stay tuned.

2. I believe that our gross profit margins on these sales with be around 60% . 97 earnings are, in my very humble opinion, very reachable an d possibly could be exceeded.

3. Veeco will now handle all service. Smit also gets a minimum 100 unit order and the Dektak real time production setup.

4. Delivery, I don't know. On the inventory question, you should call veeco.

5. This is what I think is the biggest plus in the deal. We are working with a company with a proven product that will only get faster and more accurate with the usage of lasers. Veeco's customer base would likely look very favorably at the benefits. My gusss is that Veeco talked to their clients about having laser in their robotics and Dektak and found a eager response. Why else would they have placed a minimum order for 100 machiness unless they were confident they could place them with clients and not in some storage warehouse.

6. Margin questions should be asked of your broker.
