Innovacom Inc. Announces Merger
SANTA CLARA, Calif.--(BUSINESS WIRE)--July 19, 1996--Jettson Realty Development Inc. (Jettson), a publicly held Nevada corporation is pleased to announce its merger with InnovaCom Inc. (InnovaCom)(OTC:MPEG), a Florida corporation.
To assist InnovaCom in achieving its objectives, $100,000 in capital was raised through the selling of securities issued under Regulation D. Also, a new board of directors was installed, of which the chairman is Mark C. Koz.
Koz is a member of The Institute of Electrical & Electronics Engineers, The Society of Television and Motion Picture Engineering, The Moving Pictures Expert Group Committee, and The International Standards Organizations (which governs worldwide manufacturing standards).
He is a graduate of Florida Technical University, where he specialized in electronics engineering. He has more than 20 years experience in the development and management of commercial and broadcast video systems.
The board changed Jettson's name to InnovaCom; left the domicile in the state of Nevada; effected a 116:1 stock split-down (this brought the total issued and outstanding shares to 431,034); then, issued 6 million shares of restricted stock in exchange for InnovaCom stock.
InnovaCom designs and manufactures low-cost single-chip complete MPEG2 broadcast quality video encoders which provide real time MPEG2 video encoding complete with systems transport and multiplexing of video and audio data.
InnovaCom offers the single chip MPEG2 encoder chip to companies that manufacturer digital video disk (DVD) home players to expand their market by offering recording functionality.
Pursuant to the merger, an investment banking firm retained by InnovaCom will raise an additional $2 million (to be utilized for growth and expansion). This capital will be raised through the sale of unregistered securities.
InnovaCom is far ahead of its nearest known competitor, and we expect many wonderful things in the near future.
