There does appear to be a lot of confusion as to who is getting the cash, and why most public releases to tend to say RMCW, not RMIL.

But there is nothing which would indicate there is no merger, except for the part of the merger failing due to not receiving funds unless mutually agreed..

And the point of the money going to RMCW to preserve tax loss carryforwards does not hold water. Ask your favorite CPA.
