Ron,

It is no secret that IAIC has been working on a new private placement. It was stated in their latest 10-Q filing with the SEC in mid-November.

Not being an insider one does not know the terms of the PP until after the deal is consummated.

With respect to the previous PP in the winter of 1997, IAIC's stock dropped precipitously prior to the PP (as it has done recently) and then SOARED after the deal was completed.

PS: The history of shorters of IAIC stated that:

1. IAIC will never be listed on NASDAQ and at the time was to be delisted from the EBB - false.
2. IAIC will never deliver its UNICAST/2000 technology because it doesn't work - false.
3. IAIC insiders will be "dumping" their shares - false, there have been no insider sales since the summer of 1997 and they hold a huge stake in the stock.
4. IAIC will be unable to complete the latest private placement - time will tell but I am confident that they will.
