Insiders own 70 percent of the stock in CVUS. If they want to sell out, they have the votes to do it without public shareholder consent.

This "may not" be true. Amati was recently purchased by TXN, shareholders were forced to tender their shares. If TXN did not have 90% of the stock by 23 Dec. 97 then it had to go to a shareholder vote. Many shareholders choose not to tender, approx. 4 million shares holding out, Total 19 million shares. Many did not want the Tax Liability in 1997. Not a nice surprise to have near the end of the year. They would have gone for a stock swap. So it was likely a three fold, Tax, showing discontent with the $20 a share price, and no TXN stock offer.
