Sam - The $10,000,000 private placement is not the IPO. It does smell like a substitution or supplement to other bridge financing. Keep in mind also that DCTC has proposed possible preferred share issuance, if needed, to insure FNET gets off the ground at the national level.

Also, I think I have answered my own question. The smart choice for those who don't qualify for the private placement is to buy DCTC. Remember, their stated plan is to issue their share of the IPO shares directly to shareholders at an estimated 3 shares FNET to 1 share DCTC ratio at no additional cost.

We need to support both FTEL and DCTC doing whatever they need to do to reach the IPO stage and ignite the national level service. I hold both stocks and recommend the same to anyone who wants to cover most of the contingencies.
