The company has negotiated a brokered private placement with
Canaccord Capital Corp for the sale of up to 3.5 million units, of
which 1,750,000 units will be issued on a flow through basis, at
$0.15. Each non-flow through unit will consist of one share and one
warrant entitling the holder to purchase an additional share at $0.15
in the first year of its term and at $0.17 in the second year. The
terms of the flow through offering will be the same as the non-flow
through except shares issued in conjunction with the flow through
unit and as a result of the exercise of warrants will be issued on a
flow through basis. A commission of 10% in agent's warrants and
10% cash will be paid to the agent; proceeds from the flow through
offering will not be used to pay commission. Proceeds will be used
for general working capital and qualified expenditures on the
company's Canadian mineral properties.

The company has granted incentive stock options entitling certain
individuals to purchase up to 313,570 shares at $0.15 for two years.
In addition, the company will be seeking VSE acceptance to the
repricing of stock options granted to certain individuals allowing
them to purchase up to 286,928 shares at $0.61; the company will
request the exercise price be changed to $0.15 to more accurately
reflect the current market price. The company also wishes to advise
of the cancellation of an outstanding option to purchase up to
69,999 shares at $0.71. The company will not be proceeding with
stock options announced December 2 1997.
