<< A lot of people are talking about a low price buy out for TCGI but I don't see it. Here's some things that
may be of interest to you in relation to TCGI (Teleport Comm.).

- Rumor has it that they are getting taken out in the mid-sixties by the end of the year.

- James Henry, Vice President of telecommunications analysis for Bear, Stearns & Co says "We
adhere to our bellief that TCG's private market value is roughly $70 per share". Such a value would put
TCGI at an enterprise value of approximately $14 billion, roughly equivalent to the $14.4 billion for
which worldcom acquired MFS Communications. "That's not a bad deal" Henry said.
- "Given that TCGI would provide a buyer with twice as many route miles of fiber and on-net building
[as MFS provided WorldCom] for a comparable capital investment, we believe that such a price [$14
billion] would be a bargain." Henry said. The only hurdle is the ability to come up with the funds for that
sort of acquisition.
- TCGI's recent acquisition of ACC is immediately accretive to earnings and cash flow. It also gives
them a broader array of important assets in key geograhical locations. It also accelerates its business
plan and raises the value of its franchise faster. This last information comes from First Boston who has a
Buy recommendation on the stock and a 1998 price target of $64. >>
