Hi Scott! I am not privy to the details of this particular deal, but I am somewhat familiar with mergers, acquisitions, and buyouts. There are numerous reasons that could motivate the owner(s) of Myriad Employment to sell.
Tax problems can arise for a multitude of reasons and often can be resolved by the business. But I have seen situations where the owner(s) had other concerns as well that factor into their decision to sell a business, like:
health,
burnout,
personal matters (spouse problems, relatives, etc)
conflict amoung owners,
other opportunities,
too many other interests,
retirement,
or just a desire to do something else while they are young enough and/or healthy enough to do it.
There can be other reasons as well. But you see what I mean that if FAMH is positioned in the right place, at the right time, with the ability to move quickly, there can be great opportunities.
