John:

FWIW, I have not had a short position in QGLY since late August.

If the SB-2 is really what you claim it is, what possible reason on
earth would there be for not having it 'deemed effective' already?

The SB-2 is what it is. I've never claimed it was anything other than a means to register shares for sale. The only thing I can come up with is that (unadulterated speculation coming) the SEC has requested that QGLY submit audited financials before going ahead. The audit will be part of the 10K filing. Maybe that's what they are waiting for. Haven't a clue. Only QGLY knows what the delay is and whenever anyone calls their flak they get the old "I'll have to get back to you."

If these shareholders were so desperate to sell 5 million shares 6 months ago, what are they waiting for?

At least one already has. I expect others to do so. As you may be aware, the selling shareholders are free to sell via Rule 144 without the registration being deemed effective. Some more speculation....I really think a goodly portion of the selling pressure has been shorting against the box or OTC derivative related selling. We'll never know for sure.

You (and others) have accused Q of 'dragging their feet' on the SB-2. So far, they have dragged while the stock price went from 23 to 13 1/2.

The onus is on QGlY to get it deemed effective. The SEC isn't holding the thing up, the people in Doylestown are.
