As a buyout play they may not be a bad pick - the company has a good cash position and management's awards would presumably be paid out with the deal. I buy companies I think can grow without encumbrance over a period of years and I could see that the awards would shave off some of the upside which was why I passed. I often get mad when a company gets taken over, because the company would probably have offered much greater upside as a standalone over a 5 or 10-year period.
