BK,
If AMAT offers some new technology that completes the "1 stop
shopping" scenario with the capability to go to 0.13uM geometries
then NVLS and LRCX couldn't compete individually. It would be a
strategic imperative to provide a competitive presence to the
market. I think of it this way, the equipment manufacturers are
in a "war" to gain market share/dominance. If your competition
is so large that you could never hope to overcome their dominance
alone then it is in your best interest to form an alliance/merge
with another company with the "resources" that you don't have
and can't afford to develop to compete. If you don't form an
alliance in time then you will be over-run and unable to recover.
LRCX is primarily an etch/CMP company, NVLS is primarily a PVD/CVD
company, they have pretty good products but don't individually
have the resources to offer the total package. Last year LRCX
merged with OnTrack and aquired AMAT's former President, NVLS
bought the PVD resources of Varian. These were posturing moves to
offer a more competitive package against AMAT's formidable presence
in the market. Together both of these companies are less than 1/2
the size of AMAT, but they could offer a better package than
each could individually.

Just my opinion,
BB
