A little reading ...

There is no doubt in my mind that this article is relevant. It singles out a market segment but it’s applicable to NPK in terms of the “mechanics”.

business.financialpost.com

The modus operandi isn’t identical but it’s close and it’s augmented by NPK’s off shore “benefactor” having taken it even one step further: Palisade will get monthly payments for a long time to come for so called “IR services” and all of for a lousy 1.8 Mil financing of which at least 50% was “gamed”.

This so completely flies in face of “staying above board”, it’s not even funny. Limit dilution while committing NPK to years of fees for non-existent IR services ... ???

I am just guessing here but this money could have easily been raised by tapping the existing shareholder base via a rights offering had they known as much as Palisade did.

Why was this money raised involving off-shore “financial artists”?

PS: I just don’t get it which is why I won’t go beyond my sub zero cost base. If there is real support within the Brazilian farming community, NPK shouldn’t have needed Palisade nor existing shareholders. Cash rich Brazilian farmers should have supplied all the capital NPK could possibly need.
